You will only be billed at the end of any month where there are completed sessions at a rate of $10 ex GST per completed session, a completed session being a session successfully connected for more than 2 minutes. You will be provided with a statement of all sessions.
Completion and submission of this form authorises Cider House ICT Pty Ltd to arrange for any amount Cider House ICT Pty Ltd may debit or charge you to be debited to your card for these services at that time and for subsequent months where you use this service.
You can request deletion of the account at any time and we will action that request within 72 hours.

Direct Debit Terms

By completing and submitting the Account Request you acknowledge having read and understood the terms and conditions governing the debit arrangements between you and Cider House ICT Pty Ltd as set out in this Request and in your Direct Debit Request Service Agreement.

Definitions.

Account means the account held at your financial institution from which we are authorised to arrange for funds to be debited, being a Credit or Debit Card only.

Agreement means this Direct Debit Request Service Agreement you and us.

Debit day means the day that payment by you to us is due

Debit payment means a particular transaction where a debit is made.

Direct debit request means the Direct Debit Request between you and us.

Us and we means Cider House ICT Pty Ltd (the Debit User) you have authorised by signing a direct debit request.

You means  the customer who confirmed the direct debit request.

1. Debiting your account

1.1 By completing the account creation request, you have authorised us to arrange for funds to be debited from your account. You should refer to the direct debit request and this agreement for the terms of the arrangement between us and you.

1.2 We will only arrange for funds to be debited from your account as authorised in the direct debit request.

1.3 If the debit day falls on a day that is not a banking day, we may direct your financial institution to debit your account on the following banking day.

If you are unsure about which day your account has or will be debited you should ask your financial institution.

2. Changes by us

We may vary any details of this agreement or a direct debit request at any time by giving you at least fourteen (14) days’ written notice.

3. Changes by you

3.1 Subject to 3.2 and 3.3, you may change the arrangements under a direct debit request in writing to Cider House ICT Pty Ltd, 9/899 Wellington Road, Rowville 3178.

3.2 If you wish to stop or defer a debit payment you must notify us in writing at least 14 days before the next debit day. This notice should be given to us in the first instance.

3.3 You may also cancel your authority for us to debit your account at any time by giving us 14 days notice in writing before the next debit day. This notice should be given to us in the first instance.

4. Your obligations

4.1 It is your responsibility to ensure that there are sufficient clear funds available in your account to allow a debit payment to be made in accordance with the direct debit request.

4.2 If there are insufficient clear funds in your account to meet a debit payment:

(a) you may be charged a fee and/or interest by your financial institution;

(b) you may also incur fees or charges imposed or incurred by us; and

 (c) you must arrange for the debit payment  to be made by another method or arrange for sufficient clear funds to be in your account by an agreed time so that we can process the debit payment.

4.3 You should check your account statement to verify that the amounts debited from your account are correct.

5. Dispute

5.1 If you believe that there has been an error in debiting your account, you should notify us directly on 03 9764 3638 and confirm that notice in writing with us as soon as possible so that we can resolve your query more quickly.

5.2 If we conclude as a result of our investigations that your account has been incorrectly debited we will respond to your query by refunding to your your account (including interest and charges) accordingly. We will also notify you in writing of the amount by which your account has been adjusted.

5.3 If we conclude as a result of our investigations that your account has not been incorrectly debited we will respond to your query by providing you with reasons and any evidence for this finding.

5.4 Any queries you may have about an error made in debiting your account should be directed to us in the first instance so that we can attempt to resolve the matter between you and us. If we cannot resolve the matter you can still refer it to your financial institution, which will obtain details from you of the disputed transaction and may lodge a claim on your behalf.

6. Accounts

You should check:

(a) With your financial institution whether direct debiting is available from your account as direct debiting is not available on all accounts offered by financial institutions.

(b) Your account details which you have provided to us are correct by checking them against a recent account statement; and

(c) With your financial institution before completing the direct debit request if you have any queries about how to complete the direct debit request.

7. Confidentiality

7.1 We are collecting this information for the purpose of processing the payment of Advance Notice Telemedicine services via Direct Debit payment. We will keep the information (including your account details) confidential, and will take reasonable steps to ensure that all information that we have about you is kept secure.

7.2 We will only disclose this information;

(a) For the purpose of this agreement; or to the extent specifically required by law.

8. Notice

8.1 If you wish to notify us in writing about anything relating to this agreement, you should write to Cider House ICT Pty Ltd, 9/899 Wellington Road, Rowville 3178.

8.2 We will notify you by sending a notice in the ordinary post to the address you have given us in the direct debit request.

8.3 Any notice, will be deemed to have been received on the third banking day after posting.

Advance Notice Veterinary Telemedicine Scheduling Service

Cider House ICT Pty Ltd (ABN 54 033 141 304) trading as Advance Notice owns and operates the Advance Notice Veterinary Telemedicine Scheduling Service via the website at www.advancenotice.com.au(Website) and at www.yourlocalvet.com.au.Cider House ICT Pty Ltd provides Services through the Advance Notice Platform, as well as through other third party services.

These Practice Terms and Conditions (T&Cs) set out the terms on which You may access and use the Services provided by Advance Notice . These T&Cs, accompanied by a completed Form, constitute the “Practice Agreement” (Agreement) between Cider House ICT Pty Ltd and the Practice owner or group manager.

 

Account creation and access

To use the Advance Notice Veterinary Telemedicine Scheduling Service, you must have Internet access.

Cider House ICT will strictly sell the Service through, and with the approval of, an adult user. If a user is under 18 years of age, he/she may not purchase any products or services through Cider House ICT.

To register for an Account, and before using and accessing the Service, you will need to:

By registering, you become the administrator of that dvance Notice Veterinary Telemedicine Scheduling Service account that you access using a User Account consisting of a username and password. The username is your email address. You must log in using your username and password to use the Service.

You must maintain the confidentiality of your username and password.

As the administrator, you are responsible for all activities that are conducted through your Account whether or not you have authorised such use. It is a condition of use of the Service that you ensure that your contact details are kept up-to- date and accurate. You can change or correct your information by logging-in to your profile.

You must contact us immediately if you believe someone has gained unauthorised access to your Account.

You are responsible for updating and maintaining the accuracy of the information you provide to us relating to your Advance Notice Veterinary Telemedicine Scheduling Service Account.

By confirming the agreement

You are permitted to use the Service only for legal purposes, including to carry out a business that provides consultations to your clients and your patients.

You can request that your account be disabled by contacting us at support@ciderhouse.com.au.

 

Authorised Users

As an Advance Notice Veterinary Telemedicine Scheduling Service Account administrator, you have important rights and controls over the use of your Account and any authorised users.

Authorised Users means you (if you are an individual), your officers, employees or contractors who have been expressly invited by you to participate as authorised users of our service.

As the Account administrator, you manage access rights on your account.

You agree that our responsibilities do not extend to the control of access to your Account.

You must ensure that when accessing the Service, any Authorised User you authorise to use it observes all of our security, administrative and other reasonable requirements and directions as well as those of our third party providers, and complies with these Service Terms as if it were a party to it.

 

Use of the service

You must (and must ensure that your Authorised Users) use the Service in accordance with these Service Terms and all applicable laws. You must not (and must ensure that the Authorised Users do not):

We warrant that to the best of our knowledge the Service does not, and (when used by you as permitted under these Service Terms) will not, infringe any third party’s rights (including Intellectual Property Rights) or breach any law.

 

Support

We will provide basic support for the Advance Notice Veterinary Telemedicine Scheduling Service. You will have access to free self-help resources at https://help.coviu.com/. You will have access to contact support via support@ciderhouse.com.au and we will reasonably reply as and when appropriate.

Training is not included in the Advance Notice Veterinary Telemedicine Scheduling Service. You may purchase custom training courses for yourself and your team by contacting support@ciderhouse.com.au.

These Terms do not entitle you to any serious support for the Platform or the Service, unless you make separate arrangements with Cider House ICT and pay all fees associated with such support (if any). Any such support provided by Cider House ICT shall be subject to the Terms as modified by the associated support agreement.

 

Fees

The Advance Notice Veterinary Telemedicine Scheduling Service is provided as a free sign up with a fee per scheduled consultation billed monthly in arrears or other time period the Cider House ICT may advise or agree to.

Continued access to the Service will be renewed automatically on payment of the previous months fees within 7 days of invoice unless you cancel your Account. The fee for services provided will be charged to your Payment Method.

The service fee for the Advance Notice Veterinary Telemedicine Scheduling Service and any other charges you may incur in connection with your use of the Service including taxes and any transaction fees, will be charged to your Payment Method on a monthly basis on the first business calendar day of the month. Your payment date may change in certain circumstances, for example if your payment was unsuccessful or delayed for any reason.

Cider House ICT may use a third party payment service provider to process payments due to use of the Service and you may be required to agree to additional terms between you and the third party payment service provider in order to pay for and use the Advance Notice Veterinary Telemedicine Scheduling Service.

If a payment is not successful including due to issues with your Payment Method (for example, expiration of your Payment Method or insufficient funds) and you do not update your Payment Method or cancel your account, Cider House ICT may cancel your account or suspend access to the Service until payment has been received. You remain responsible for any outstanding payments owing to Cider House ICT and authorise Cider House ICT to charge any outstanding payments to your updated PaymentMethod.

Cider House ICT may change the fees for the Advance Notice Veterinary Telemedicine Scheduling Service from time to time and will provide you with at least 30 days’ notice before the change comes into effect.

You may cancel your Account to use the Advance Notice Veterinary Telemedicine Scheduling Service at any time – including when you don’t agree with a change to fees – and your service will be terminated immediately. You can request that your account be terminated via calling Cider House ICT or emailing support@ciderhouse.com.au. If you cancel your Account, you will no longer have access to the Advance Notice Veterinary Telemedicine Scheduling Service and will not be entitled to any refunds.

Additionally to the service fees, we will charge you, and you shall pay, any and all additional costs, fines, or penalties we incur from a governmental or regulatory body or telecommunication provider as a result of your use of the Services.

 

Free trial

Your subscription may start with a free trial for one scheduled consultation. Free trial eligibility is determined by Cider House ICT at its sole discretion and Cider House ICT reserves the right to limit free trial eligibility to prevent abuse of the free trial offer.

 

Session specification

The Advance Notice Veterinary Telemedicine Scheduling Service is charged based on the number of sessions held per month.

Sessions are created using an API (Application Programming Interface) key created for you by Cider House ICT. If you share your API key with any person, you (and not Cider House ICT and Coviu Global as the originating providers of the API ) are responsible for any actions that person may take. If you believe that someone has used your access without your permission, contact us at support@ciderhouse.com.au.

Sessions have the following restrictions:

From time to time, the API may be updated which may automatically change the functionality of the Platform or Service. You consent to those updates  and changes in functionallity.

When users interact with the Service, Cider House ICT stores certain personally non-identifiable information as well as aggregated user information and statistics, such as number of unique users, number of sessions and total minutes streamed. Cider House IC may store such information itself or such information may be stored by and shared with affiliates, agents, service providers and current and prospective business partners. Cider House ICT uses the foregoing information to provide, improve, market and enhance its products and services and for other lawful business purposes. You agree to such usage of data.

Cider House ICT reserves the right to place volume limitations on access to the Platform or Service. Cider House ICT reserves the right to cap concurrent video chat sessions conducted via the Service in its discretion.

Other than through the API configuration options provided by Coviu, you may not, nor allow any third party to, alter, change or modify any user interface, feature or functionality of the Service without the express written consent of Coviu.

 

Prohibited Use

You are solely responsible for all content provided to clients through the Service. You may not incorporate or use the Service in connection with any of the content or services that falls within any description below:

Is primarily directed to children aged 13 or under or that has children aged 13 or under as a significant proportion of its users, unless it’s a medical service;

Contains adult entertainment, including pornography, erotic content, sexually explicit content, prostitution, or any other content not appropriate for general audiences;

Offers or promotes gambling, games of chance involving the payment of any consideration, or illegal sweepstakes or contests;

Promotes, encourages or facilitates any illegal activity, violates the law or violates the rights of any third party (including, without limitation, intellectual property rights, rights of privacy, or rights of personality);

 

Archiving and Storage of Recordings

The host can choose to record Coviu sessions. By using the Services, you are giving consent to store recordings for any or all meetings that you join. You will receive a notification (visual or otherwise) when recording is enabled. For recordings that are started during a session, participants can refuse consent. For default recorded sessions, guests will need to provide consent on entry. If they do not consent to being recorded, they can choose to leave the session.

You acknowledge and understand that there are federal, state, local and international laws governing the electronic recording of communications and that Cider House ICT will not be liable for any illegal use of the Service. You should carefully review your own circumstances when deciding whether to use the recording features of the Service and it is your responsibility to determine if the electronic recordings are legal under applicable federal and state laws.

You agree to comply, and require that your users comply, with all applicable laws, whether federal, state, local or international, relating to the privacy of communication for all parties to a conversation, including, when required, advising all participants in a recorded video chat that the video chat is being recorded. In addition, you acknowledge that the storage of recorded communications is not guaranteed by Cider House ICT and agree that Cider House ICT will not have any liability whatsoever for any damage, liabilities, losses (including any loss of data or profits) or any other consequences that you may incur with respect to the loss or deletion of recorded communications.

Cider House ICT will maintain reasonable physical and technical safeguards to prevent unauthorised disclosure of or access to recordings, in accordance with industry standards.

 

Confidentiality

Both you and we agree to keep confidential all information received from each other under or in connection with these Service Terms and to only use such information for the purposes of performing the party’s obligations under these Service Terms except:

Data and Intellectual Property

We acknowledge that Your Data remains your property.

You grant to Cider House ICT and our service providers a worldwide, non-exclusive, perpetual, irrevocable, royalty free licence to use the Intellectual Property Rights in Your Data to the extent required to enable Cider House ICT and our service providers to provide you with the Advance Notice Veterinary Telemedicine Scheduling Service. You warrant that the use of Your Data by Cider House ICT as permitted by these Service Terms, will not infringe any third party’s rights (including Intellectual Property Rights) or breach any law, and you agree to indemnify Cider House ICT and its respective employees, officers, consultants, contractors and agents against any liability suffered arising from any claims by third parties that such use infringes the rights of a third party or breaches any law.

The provisions under this “Data and Intellectual Property” section survive termination of these Service Terms.

 

Security and storage

We store all data used in connection with the Advance Notice Veterinary Telemedicine Scheduling Service (including Your Data) in our ordinary IT systems, including in cloud servers or for select purposes the servers of third parties. You agree that we need not take any additional steps to secure Your Data beyond our ordinary security steps.

We will also not be liable for any loss or damage you suffer because of technical issues caused by a third party, or for reasons that are beyond our reasonable control. Without limiting any other provisions of these Service Terms, you acknowledge that use of the Advance Notice Veterinary Telemedicine Scheduling Service necessarily involves transmission of Your Data over networks that are not owned, operated or controlled by us, and we are not responsible for any of Your Data lost, altered, intercepted or stored across such networks. We cannot guarantee that our security procedures will be error-free, that transmissions of Your Data will always be secure or that unauthorised third parties will never be able to defeat our security measures or those of our third party service providers.

 

Liability

We will not be liable for any disruption or suspension to the service due to circumstances beyond our reasonable control, including as a result of unavailability of third party software, services or infrastructure (including telecommunications infrastructure), fire, storm, flood, earthquake, act of terrorism or war, industrial action and compliance with any government directive.

To the maximum extent permitted by law:

Other than those expressly set out in these Service Terms or any statutory guarantees that cannot be excluded, Cider House ICT does not provide any warranty, either express or implied, in relation to your use of the Advance Notice Veterinary Telemedicine Scheduling Service or as to the availability, quality, currency, completeness, accuracy or suitability for any particular purpose of the information contained in the Advance Notice Veterinary Telemedicine Scheduling Service, including as to data outputs or any Derivative Product.

Nothing in these Service Terms restrict, exclude or modify any rights that cannot be excluded under any applicable law including the consumer guarantees set out in the Competition and Consumer Act 2010 (Cth). If any law implies a condition or warranty into these Service Terms which cannot lawfully be excluded then, to the maximum extent permitted by law, our liability for any breach of such implied term will be limited, at our option, to the total fees paid for the service during the 1 month period preceding the event upon which the liability is predicated, or to the supply of the relevant service again or the payment of the cost of having that service re-supplied.

The provisions under this “Liability” section survive termination of these Service Terms.

 

Third party providers

Cider House ICT relies upon third parties to provide certain of the communications and technical infrastructure and services to support provision of the Advance Notice Veterinary Telemedicine Scheduling Service.

 

Suspension and maintenance

We may restrict or suspend your access to the Advance Notice Veterinary Telemedicine Scheduling Service if you or an Authorised User breaches these Service Terms.

Your access to the Advance Notice Veterinary Telemedicine Scheduling Service may also be restricted or suspended for purposes of performing maintenance.

 

Termination

Without limitation to other rights you may have under these Service Terms to cancel your subscription, you may at any time terminate your access to the Advance Notice Veterinary Telemedicine Scheduling Service by calling or emailing to support@ciderhouse.com.au.

We rely on third parties to provide the infrastructure for the Coviu software as a service utilised by the Advance Notice Veterinary Telemedicine Scheduling Service and should access to such infrastructure be terminated for any reason, CiderHouseICTisnotliableforanydisruptionorsuspensionoftheAdvanceNoticeVeterinaryTelemedicineScheduling Service, and reserves the right to terminate or cease provision of the Advance Notice Veterinary Telemedicine Scheduling Service to you by no less than 30 days’ written notice toyou.

If the Advance Notice Veterinary Telemedicine Scheduling Service is terminated for any reason, we shall provide you with reasonable assistance as required to provide you with a copy of Your Data. We will permanently erase all of the Data following the completion of this obligation,

 

Changes to Service Terms

We reserve the right to update or amend these Service Terms at any time. You should check this page from time to time to make sure you are aware of any changes.

Your access and use of the Advance Notice Veterinary Telemedicine Scheduling Service following agreement on any changes to the Service Terms will be on the amended Service Terms.

 

Additional Terms

If any provision of these Service Terms is found to be invalid or unenforceable, the provision is deemed severed from these Service Terms and the remainder of the terms will continue in full force and effect.

 

Force Majeure

Neither party will be liable to the other for any delay or failure to perform any obligation under these Terms (except for a failure to pay fees) if the delay or failure is due to events which are beyond the reasonable control of such party, such as a strike, blockade, war, act of terrorism, riot, natural disaster, failure or diminishment of power or telecommunications or data networks or services, or refusal of a license by a government agency.

 

Definitions

Advance Notice Veterinary Telemedicine Service means access to the Advance Notice Telemedicine scheduling service, and any related platforms operated by Cider House ICT Pty Ltd, including the “Your Local Vet” platforms.

AUP means the Advance Notice Acceptable Use Policy set out in the Schedule to this Agreement.

Account means an online account made available to a Practice by Advance Notice to enable the Practice administrator to access the admin reports and other associated details as provided by Advance Notice

Telemedicine Scheduling Site means the site through which the Practice schedules telemedicine services.

Confidential Information means all trade secrets, ideas, know-how, concepts, methods ofworking, management, operations, procedures, financial and business information whether in writing or otherwise relating to the parties, but does not include information that is in the public domain for reasons other than unauthorised disclosure.

Fees means the amounts invoiced to a Practice by Advance Notice or otherwise payable by a PracticetoAdvance Notice for theServices.

Form means the agreement a Practice or veterinary group completes in signing up for the Services, together with the information provided in them, and also includes any Advance Notice form submitted by a Practice or Practice Group requesting services from Advance Notice, and any variation to the Form agreed by AdvanceNotice.

Insolvency  means being at risk of being unable to pay the debts as they become due, and includes anyformof bankruptcy oradministration.

Intellectual Property Rights means all intellectual property rights throughout the world, including rights in relation to any copyright (including under the Copyright Act 1968 (Cth)), patents, inventions, designs, trademarks, domain names, trade secrets, know-how, and all other intellectual property as defined in Article 2 of the convention establishing the World Intellectual Property Organisation 1967 (whether registered or unregistered), and any application or right to apply for registration of any of those rights

VPMS means a Practice’s Veterinary Practice ManagementSoftware.

Practice means a veterinary practice, centre, clinic or office within which one or more Practitioners provide veterinary healthcare services (which could be a sole practitioner or an entity or other association) including mobile services.

PracticeGroup   means a group or association of Practices orPractitioners.

Public Members means the members of the public who use the Website and includes those members of the public who utilise the telemedicine service with the Practice

Term  means that period from commencement of the initial term of the Agreement until termination or expiryofthe Agreement in accordance with clause 8 and includes any renewalperiod.
